SURVIVAL OF. ARTICLE II. Notwithstanding any other provision in this Agreement, the provisions of this Article II shall survive the Effective Time and remain continuously in effect until December 31, 2005 (the "Termination Date"), on which date the provisions of this Article II shall terminate.
