Common use of Survival and Severability Clause in Contracts

Survival and Severability. The provisions of this Agreement, which by their nature are continuing, shall continue in full force and effect and shall bind the Parties beyond any termination, cancellation or expiration of this Agreement. If any provisions of this Agreement shall be conclusively determined by a court of competent jurisdiction to be invalid or unenforceable to any extent, the remainder of this Agreement shall not be affected thereby but shall remain in full force and effect.

The provisions of Rights and obligations under this Agreement, which by their nature should survive or are continuing, expressly so stated herein shall continue remain in full force and effect and shall bind to the Parties beyond extent so specified, notwithstanding any termination, cancellation expiry or expiration termination of this Agreement. If any provisions provision of this Agreement shall be conclusively (or any portion thereof) is determined by a court of competent jurisdiction to be invalid or unenforceable to any extent, the remainder remaining provisions of this Agreement shall not be affected thereby but by such determination, shall remain in full force be binding upon the Parties and effectshall be enforceable.
