Supplier Relations. Section 3.29 of the Disclosure Schedules set forth for the Target Companies all suppliers who accounted for 5% or more of the Company’s consolidated gross purchases in the year ended January 1, 2005 or in the three-month period ended April 2, 2005. No such supplier of the Company has advised the Sellers or the Company in writing, orally or otherwise that it is, and, to the Company’s knowledge, there is no reason to believe any such supplier is, (a) removing or considering removing the Target Companies from any approved purchaser list; or (b) terminating or considering terminating any of the Target Companies as a whole or in respect of any particular project or service. To the Company’s knowledge, no such supplier has any material dispute or disagreement with the Target Companies.

Employees may accept advertising items of nominal value from a supplier or business associate, but gifts of substantial value must be reported to the employee’s Career Manager and returned. Employees who are involved in a procurement or financial role, including employees who work with or evaluate vendors, suppliers, etc. may not accept any business courtesy except for promotional items with a fair market value under $50 per occasion and $250 annually. If there is any doubt about the value or the advisability of accepting an advertising item, employees should ask their Career Manager or the Chief Compliance Officer. Invitations to social events, working luncheons or other business-related events are to be evaluated individually on their merit as a business activity. If there are sound business reasons for accepting, an employee may do so with the knowledge and consent of their Career Manager. In connection with federal contracts or subcontracts, federal law prohibits “kickbacks,” under which money or anything of value is directly or indirectly provided or offered to or solicited by employees or a contractor or subcontractor for the purpose of improperly obtaining or rewarding favorable treatment. Accordingly, favors may not be solicited. If an employee is offered any favors, the employee must decline them and report the incident to their Career Manager. All employees, particularly those involved in the procurement of supplies or services on behalf of the Company, must avoid even the appearance of impropriety.

Supplier Relations. Schedule 4.25 contains a complete and accurate list of the names of the Suppliers. The Company and its Subsidiaries maintain good relations with its Suppliers and, to the Knowledge of the Shareholders, no event has occurred that could materially and adversely affect the Company’s or its Subsidiaries’ relations with any Supplier. The Shareholders do not have any Knowledge to the effect that any current Supplier may terminate or materially alter its business relations with the Company or any of its Subsidiaries, either as a result of the transactions contemplated hereby or otherwise.
