Supplier Foreground IP Clause Samples

The 'Supplier Foreground IP' clause defines the ownership and rights associated with intellectual property that the supplier creates during the course of performing a contract. Typically, this clause specifies that any inventions, designs, software, or other IP developed by the supplier specifically for the project will be considered 'Foreground IP' and may either remain with the supplier or be transferred to the customer, depending on the agreement. This clause is essential for clarifying who holds the rights to new IP generated during the engagement, thereby preventing future disputes and ensuring both parties understand their respective interests in the resulting intellectual property.
