Superseding Terms. Except as specifically set forth in this Amendment, as of the Effective Time, (a) the terms of this Amendment shall supersede any contrary terms of the Existing Agreement and (b) in the event of any inconsistency between this Amendment and the terms of the Existing Agreement, this Amendment shall control. Except as otherwise specifically set forth in this Amendment, the Existing Agreement shall remain in full force and effect in accordance with its terms.
Superseding Terms. We are sending you these Terms of Service because you have enrolled in a Term Product and/or a Renewable Product. These Terms of Service, along with the Product Confirmation Letter describing your product selection(s), which is incorporated herein, supersede and replace the Terms of Service previously sent to you.
Superseding Terms. The terms and conditions contained in Part II, Schedules ‘A’ through ‘H.2’, supersede the General Terms and Conditions contained herein.

No terms, provisions or conditions of any purchase order, acknowledgment or other business form that Customer or CrossWorlds may use in connection with the acquisition or licensing of the Software will have any effect on the rights, duties or obligations of the parties under, or otherwise modify, this Agreement, regardless of any failure of CrossWorlds or Customer to object to such terms, provisions or conditions, unless otherwise agreed in writing by the parties.
Superseding Terms. No terms, provisions or conditions of any current or future purchase order, sales order, acknowledgment or other business form that the Parties may use in connection with the current or future orders to license the Software will have any effect on the rights, duties or obligations of the Parties under, or otherwise modify, this Agreement, regardless of any failure of Licensor to object to such terms, provisions or conditions. Superseding Terms. Except as expressly provided to the contrary herein, upon the closing of the Asset Purchase Agreement or the Stock Purchase Agreement on the Closing Date, the terms of the applicable Club Acquisition Agreement shall supersede the terms and replace the terms and provisions of this Agreement and the Management Agreement.
Superseding Terms. Service Provider may terminate this Agreement by offering you a superseding agreement for Service or any replacement or modified version of or upgrade or new release of the Software, and your continued use of the Software or such replacement, modified or upgraded version or new release, constitutes your acceptance of such superseding agreement pursuant to Section 28 of this Agreement.

Superseding Terms. The terms of this Agreement supersede any conflicting provisions in the End User License Agreement attached as Exhibit B-1.
