Common use of Suits Clause in Contracts

Suits. There is no suit, action, claim, investigation or inquiry by any Person and no legal, administrative or arbitration proceeding pending or, to such Seller’s knowledge, threatened against such Seller or any Affiliate of such Seller with respect to the Assets or that has materially affected or will materially affect such Seller’s ability to consummate the transactions contemplated herein or materially affect the title to or value of the Assets except as shown on Schedule 5.06.

Suits. There Except as set forth in Schedule 5.06, there is no suit, action, claim, investigation or inquiry by any Person person or entity or by any administrative agency or Governmental Authority and no legal, administrative or arbitration proceeding pending or, to such Seller’s knowledgeSellers' Knowledge, threatened against such any Seller or any Affiliate of such Seller with respect to or the Assets or that has materially affected or will could reasonably be expected to materially affect such Seller’s 's ability to consummate the transactions contemplated herein or materially affect the title to or value of the Assets except as shown on Schedule 5.06any Asset.

There Except as disclosed on Schedule 6.06 attached hereto, there is no suit, action, claim, investigation or inquiry by any Person person or entity or by any administrative agency or Governmental Authority and no legal, administrative or arbitration proceeding pending or, to such Seller’s Sellers’ knowledge, threatened against such a Seller or any Affiliate affiliate of such a Seller with respect to or the Assets or that has materially affected or will materially affect such Seller’s Sellers’ ability to consummate the transactions contemplated herein or materially affect the title to or value of the Assets except as shown on Schedule 5.06Assets.
