Successors and Assigns; Assignment; Material Breach, Etc. All covenants and agreements set forth in this Agreement by or on behalf of the Company shall bind its successors and assigns, and all covenants and agreements set forth in this Agreement by or on behalf of V▇▇▇▇ shall inure to the benefit of and be enforceable by the Company and its successors and assigns. Neither party may assign any rights or delegate any duties under this Agreement without the prior written consent of the other party, and such consent shall not be unreasonably withheld. Any assignment of rights or delegation of duties without an express, prior written consent will be of no force or effect.
