Common use of Subtenant Covenants Clause in Contracts

Subtenant Covenants. Except as otherwise herein agreed, with respect to the Sub-Premises during the Term, Subtenant covenants and agrees to fully and faithfully perform the terms, obligations, covenants and conditions of the Prime Lease on the part of the Sublandlord as tenant, to be performed thereunder. Subtenant shall not do or cause to be done any act which would or might cause the Prime Lease or the rights of the Sublandlord as tenant under the Prime Lease, to be canceled, terminated, forfeited or surrendered, or which would or might cause Sublandlord to be in default under the Prime Lease or liable for any damages, claims or penalties thereunder. Subtenant agrees, as an express inducement for Sublandlord’s executing this Sublease, that if there is any conflict between the provisions of this Sublease and the provisions of the Prime Lease, which would permit Subtenant to do or cause to be done any act or thing which is prohibited by the Prime Lease or, if this Sublease is silent with respect to any action or thing that is prohibited by the Prime Lease, then the provisions of the Prime Lease shall prevail.

Subtenant Covenants. Except as otherwise herein agreedSubtenant shall observe and perform when due all covenants, with respect to the Sub-Premises during the Term, Subtenant covenants agreements and agrees to fully and faithfully perform the terms, obligations, covenants and conditions obligations of the Prime Lease on the part of the Sublandlord as "tenant, to be performed thereunder. Subtenant shall not do or cause to be done any act which would or might cause the Prime Lease or the rights of the Sublandlord as tenant " under the each applicable Prime Lease, except for "tenant's" obligation to pay rent under the applicable Prime Lease. Subtenant's failure to perform "tenant's" obligations under the applicable Prime Lease shall also be a breach of this Master Sublease and Sublandlord shall have all the rights and remedies against Subtenant as would be available to the Master Landlord under the applicable Prime Lease if such breach were by "tenant" thereunder. The rights of a Master Landlord under a Prime Lease may be enforced by the Sublandlord. Notwithstanding anything to the contrary contained in this Master Sublease, Subtenant shall neither do, nor omit, nor permit anything to be canceled, terminated, forfeited or surrendereddone, or omitted, which would or might (i) may cause Sublandlord a Prime Lease to be terminated or forfeited by reason of any right of termination or forfeiture reserved or vested in a Master Landlord under such Prime Lease, or (ii) may cause a default under such Prime Lease. In the event that any term or provision of a Prime Lease is inconsistent or liable for conflicts with any damages, claims term or penalties thereunder. Subtenant agrees, as an express inducement for Sublandlord’s executing provision of this Master Sublease, that if there is any conflict between the terms and provisions of this Master Sublease and shall control to the provisions of the Prime Lease, which would permit Subtenant to do or cause to be done any act or thing which is prohibited by the Prime Lease or, if this Sublease is silent with respect to any action or thing that is prohibited by the Prime Lease, then the provisions of the Prime Lease shall prevailextent provided.
