Substitution of Key Personnel. Consultant has represented to City that certain key personnel will perform and coordinate the Services under this Agreement. (09/17) Contractor shall make no substitutions of Key Personnel unless the substitution is necessitated by law, illness, death, resignation, or termination of employment. Contractor shall notify the City within ten (10) Calendar Days after the occurrence of any of these events. Substitution of Key Personnel. The Construction Manager acknowledges and represents that the designated Authorized CM Representatives are “key” personnel who will perform specific tasks, duties, and services pursuant to this Agreement. In the event one or more of such key personnel are not able, or are unavailable, to continue in such capacity, the Construction Manager may substitute other personnel of at least equal skill, knowledge and competence, subject to the District’s prior written approval of any such substitution. The District may require that the Construction Manager replace any Authorized CM Representative or other Construction Manager personnel in the event the District determines that such person has performed in an unsatisfactory manner.
