Common use of Subservicer Clause in Contracts

Subservicer. Any Person that services Mortgage Loans on behalf of the Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Company under this Agreement or any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB; provided, however, that the term “Subservicer” shall not include any master servicer, or any special servicer engaged by a Depositor, Purchaser or investor in a Securitization Transaction, nor any “back-up servicer” or trustee performing servicing functions on behalf of a Securitization Transaction.

Subservicer. Any Person that services Mortgage Loans on behalf of the Company Countrywide or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion majority of the material servicing functions required to be performed by the Company Countrywide under this Agreement or any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB; provided, however, that the term “Subservicer” shall not include any master servicer, or any special servicer engaged by at the request of a Depositor, Purchaser or investor in a Securitization TransactionTransfer, nor any “back-up servicer” or trustee performing servicing functions on behalf of a Securitization TransactionTransfer.

Any Person that services Mortgage Loans on behalf of the Company Countrywide or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by Countrywide under the Company under this Agreement or any Reconstitution Pooling and Servicing Agreement that are identified in Item 1122(d) of Regulation AB; provided, however, that the term “Subservicer” shall not include any master servicer, or any special servicer engaged by a at the request of the Depositor, Purchaser the Master Servicer or investor in a the Securitization Transaction, nor any “back-up servicer” or trustee performing servicing functions on behalf of a the Securitization Transaction.

Any Person that services Mortgage Loans on behalf of the Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Company under this Agreement or any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB; provided, howeverfor the avoidance of doubt, that the term “"Subservicer” " shall not include (i) any master servicer, or any special servicer engaged by at the request of a Depositor, Purchaser or investor in a Securitization Transaction, nor Transaction or (ii) any “"back-up servicer” " or trustee performing servicing functions on behalf of a Securitization Transaction, in each case so long as such party does not act on behalf of the Company or any Subservicer.
