Subsequent Disallowance Clause Samples
Subsequent Disallowance. In the event that any Tax attribute for which Equifax has made a payment pursuant to Section 4.1 is subsequently reduced or disallowed, Certegy shall indemnify Equifax and hold it harmless from any Tax liability, including interest and penalties, incurred by reason of such reduction or disallowance.
Subsequent Disallowance. In the event that any tax attribute for which UWS has made a payment pursuant to Section 4.1 is subsequently reduced or disallowed, Newco shall indemnify UWS and hold it harmless from any Tax liability, including interest and penalties, incurred by reason of such reduction or disallowance.
Subsequent Disallowance.
