Common use of Subscription Services Users Clause in Contracts

Subscription Services Users. “User” shall mean an individual who has signed-up or has been added to the Platform (by the Customer or by Mindtickle at Customer request), whether or not the individual is using the Subscription Services at any given time. During the Subscription Term set forth in each Order, Mindtickle will make the Subscription Services available to Customer and its authorized end users (“End Users”) and administrative account users (“Admin(s)”) who may be Users of Customer’s Affiliates, employees, agents or contractors. The number of Users shall be set forth in the Order. Customer shall assign each User a Log-In (as set forth in Section 2.5). Where a User no longer requires access to the Subscription Services (e.g., User no longer is employed or engaged by Customer), Customer may deactivate the Log-In for such User and re-provision it to a new User provided that all data associated with the previous User may be removed or deleted from the Subscription Services by Mindtickle. Users may access and use the Subscription Services solely for Customer’s internal business purposes in accordance with the terms of this Agreement. Customer is responsible for use of the Subscription Services by Users and any party who accesses the Subscription Services with a User’s account credentials.
