SUBSCRIBER STATEMENT. Attached hereto as Exhibit A-2 is the Sellers’ statement (the “Subscriber Statement”) setting forth each ▇▇▇ Agreement that a required consent has not yet been obtained as of the date hereof (each such ▇▇▇ Agreement, an “Outstanding Consent ▇▇▇ Agreement”), and (ii) the number of Subscribers for each such Outstanding Consent ▇▇▇ Agreement (the “Outstanding Consent ▇▇▇ Subscribers”). The Sellers jointly and severally represent and warrant to the Purchaser that the Subscriber Statement was prepared in good faith from the books and records of the Sellers consistent with past practice.

SUBSCRIBER STATEMENT. I, the Subscriber, have sought such independent counsel as I consider necessary and I have read this Agreement carefully and accept, agree and acknowledge the representations and terms thereof in full and without exception and agree that this Agreement constitutes the entire agreement between us and there are no collateral representations or agreements.
