Common use of Subject to Master Lease Clause in Contracts

Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the Consent. During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Sublandlord agrees that during the Term, Sublandlord will not amend, modify or voluntarily terminate the Master Lease in a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating the Master Lease in the event of casualty or condemnation.

During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Sublandlord agrees that during the Term, Sublandlord will not amend, modify or voluntarily terminate the Master Lease in a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating the Master Lease in the event of casualty or condemnation.

This Sublease is and shall be at all times expressly subject and subordinate to the Master Lease. , and to the rights of Master Landlord under the Master Lease, and Subtenant acknowledges shall under no circumstances have any greater rights than does Sublandlord under the Master Lease, and no provision of this Sublease shall be construed in a manner that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions would constitute a breach of the Master Lease. Additionally, Subtenant’s rights under this Sublease shall be subject to Without limiting the terms generality of the Consent. During foregoing, in the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to event of the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions or cancellation of the Master Lease which are directly contradicted by this Subleasefor any reason, in which event the terms of this Sublease document shall control over automatically be deemed terminated effective as of the same day of such cancellation or termination of the Master Lease. , and Sublandlord agrees shall have no liability or obligation to Subtenant as a result thereof; provided, however, that during the Term, Sublandlord will not amend, modify or voluntarily terminate if the Master Lease in terminates as a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating result of a default or breach by Subtenant under this Sublease or the Master Lease in Lease, then Subtenant shall indemnify, exonerate, and hold Sublandlord harmless from and against any and all loss, cost, damage, and liability (including, without limitation, reasonable attorneys’ fees) incurred by Sublandlord by reason of any breach by Subtenant of its obligation, covenants, and/or undertakings under this Sublease and/or the event of casualty Master Lease, as applicable to Subtenant, or condemnationfailure to perform any obligations assumed by Subtenant under this Sublease.

Subject to Master Lease. (a) This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the ConsentLease (except items which have been redacted by Sublandlord). During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the expiration or earlier termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Master Landlord, the obligations of Sublandlord “Tenant” under the Master Lease which pertain to the Subleased Premises and/or or this Sublease, except for those provisions of the Master Lease which are excluded from incorporation as set forth below or directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Notwithstanding anything to the contrary in this Sublease, in the event the Master Lease is terminated for any reason other than the default of Sublandlord, this Sublease shall terminate simultaneously with such termination without any liability of Sublandlord agrees to Subtenant; provided, however, that during the Term, Sublandlord will shall not amend, modify or voluntarily terminate the Master Lease in except pursuant to a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating the Master Lease in the event right of termination arising out of casualty or condemnationcondemnation expressly set forth in the Master Lease.

Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease, and assumes and agrees to be bound thereby. Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the Consent. During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the termination of this Sublease, Subtenant hereby expressly agrees to perform and comply with, for the benefit of Sublandlord and Landlord, : (a) to abide by the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event to the terms of extent applicable to the Subleased Premises; (b) that this Sublease document (and all further subleases of any portion of the Subleased Premises) shall control over terminate upon any termination of the Master Lease, regardless of whether or not such termination is voluntary; (c) in the event of a termination of the Master Lease by reason of Sublandlord’s default or in the event of a mutually agreed termination, at Landlord’s option, this Sublease shall terminate, or Subtenant shall attorn to Landlord; and (d) to be bound by all waivers for the benefit of Landlord under the Master Lease. Sublandlord Subtenant agrees that during Landlord shall be an express third-party beneficiary of the Term, foregoing provisions and that in no event shall Subtenant or any occupant of the Subleased Premises possess or enjoy any rights or remedies in excess of those rights and remedies granted to Sublandlord will not amend, modify or voluntarily terminate under the Master Lease in a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating the Master Lease in the event of casualty or condemnationLease.

Sublandlord agrees that during Notwithstanding anything to the Term, Sublandlord will not amend, modify or voluntarily terminate contrary contained in this Sublease (including any provisions of the Master Lease in to the contrary), Subtenant shall not be required to pay any additional rent or other amounts, or to perform any obligation that is (1) allocable to any period of time prior to the Commencement Date, or following the expiration or sooner termination of this Sublease, or (2) payable solely as a manner which increases Subtenant’s result of a default or breach by Sublandlord of any of its obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating under the Master Lease in (unless due to Subtenant’s default of this Sublease or default under any of Sublandlord’s obligations under the event of casualty or condemnationMaster Lease assumed by Subtenant pursuant to this Sublease).

Sublandlord agrees that during Notwithstanding the Termforegoing, Sublandlord will not amend, modify or voluntarily terminate Subtenant shall have no obligation to maintain any element of the Master Lease in a manner which increases Premises that is not part of the Subleased Premises. As between Sublandlord and Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating , all such portions of the Master Lease in the event of casualty or condemnationPremises shall be Sublandlord’s sole responsibility.

During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Sublandlord agrees covenants that during the Term, Sublandlord it will not amend, modify provide Subtenant with copies of any amendments or voluntarily terminate modifications to the Master Lease in a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereundersubsequent to the execution of this Sublease. The foregoing will not preclude Sublandlord from terminating covenants and agrees that all warranties and covenants and agreements of Landlord to the "Tenant" under the Master Lease in shall be assigned from Sublandlord to Subtenant as the event of casualty or condemnationsame pertain to the Subleased Premises.

Additionally, Subtenant’s rights under this Sublease shall be subject to Without limiting the terms generality of the Consent. During foregoing, in the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to event of the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions or cancellation of the Master Lease which are directly contradicted by this Subleasefor any reason, in which event the terms of this Sublease document shall control over automatically be deemed terminated effective as of the same day of such cancellation or termination of the Master Lease. Sublandlord agrees , and Sublessor shall have no liability or obligation to Sublessee as a result thereof (except that during Sublessor shall return to Sublessee any portion of the TermSecurity Deposit which has not been previously used by Sublessor as provided herein); provided, Sublandlord will not amendhowever, modify or voluntarily terminate that if the Master Lease in terminates as a manner which increases Subtenant’s result of a default or breach by Sublessee under this Sublease or the Master Lease, then Sublessee shall be responsible to Master Lessor for all of the obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating of the Tenant under the Master Lease in the event of casualty or condemnationsuch termination and pay to Master Lessor any and all damages provided for in the Master Lease in the event of such termination, but shall not be otherwise liable to Sublessor.
