Sub-participation; subrogation assignment. A Lender may sub-participate all or any part of its rights and/or obligations under or in connection with the Finance Documents without the consent of, or any notice to, the Borrower, any Security Party, the Agent or the Security Trustee; and the Lenders may assign, in any manner and terms agreed by the Majority Lenders, the Agent and the Security Trustee, all or any part of those rights to an insurer or surety who has become subrogated to them.

A Lender may sub-participate all or any part of its rights and/or obligations under or in connection with the Finance Documents without subject to the prior written consent of, (which shall not be unreasonably withheld or any notice to, delayed) of the Borrower, any Security Party, the Agent or the Security Trustee; and the Lenders may assign, in any manner and terms agreed by the Majority Lenders, the Agent Agent, the Borrower and the Security Trustee, all or any part of those rights to an insurer or surety who has become subrogated to them.

A Lender may sub-participate all or any part of its rights and/or obligations under or in connection with the Finance Documents without the consent of, or any notice to, the Borrower, any Security Party, the Agent, the Paying Agent or the Security Trustee; and the Lenders may assign, in any manner and terms agreed by the Majority Lenders, the Agent, the Paying Agent and the Security Trustee, all or any part of those rights to an insurer or surety who has become subrogated to them.

Sub-participation; subrogation assignment. A Lender may sub-participate all or any part of its rights and/or obligations under or in connection with the Finance Documents without with notice to the consent of, or any notice to, the Borrower, any Security PartyParties, the Agent or and the Security Trustee; and the Lenders may assign, in any manner and terms agreed by the Majority Lenders, the Agent and the Security Trustee, all or any part of those rights to an insurer or surety who has become subrogated to them.

Where no Event of Default has occurred and is continuing the Lenders may assignBorrowers’ consent to such sub-participation shall be required, in any manner and terms agreed by the Majority Lenders, the Agent and the Security Trustee, all such consent not to be unreasonably withheld or any part of those rights to an insurer or surety who has become subrogated to themdelayed.
