Structure and Composition a. The Palestinian Police shall consist of one integral unit under the control of the Council. It shall be composed of six branches:
(1) Civil Police (Al Shurta);
(2) Public Security;
Structure and Composition. From and after the Closing and until the Final Advent Step-Down Date, the Company shall take all Necessary Action to (a) cause the total number of Directors not to be (without the Advent Post-Closing Shareholders’ prior written consent) more than nine, (b) cause the Directors to be divided into three classes, constituted in accordance with Section 4.1.2, and (c) cause the Board to be composed solely of the individuals designated or nominated for election or appointment as Directors or a non-voting board observer, as applicable, pursuant to Section 4.1.3, Section 4.1.4, Section 4.1.5, Section 4.1.6, Section 4.1.7, Section 4.1.8 or Section 4.1.9, as applicable, and otherwise constituted in accordance with the other provisions of this Section 4.1.

Except as otherwise agreed with the Silver Lake Post-Closing Shareholder, from and after the Closing and until the Final Silver Lake Step-Down Date, the Company shall take all Necessary Action to (a) cause the total number of Directors not to be more than 10 or less than 8, (b) cause the Directors to be divided into three classes, constituted in accordance with Section 4.1.2, and (c) cause the Board to be composed solely of the individuals designated or nominated for election or appointment as Directors, as applicable, pursuant to (i) the provisions of Article IV of this Agreement and (ii) of the Amended and Restated Business Combination Agreement, as applicable. For the avoidance of doubt, this Section 4.1.1 shall only apply to the extent not otherwise agreed with the Silver Lake Post-Closing Shareholder.
Structure and Composition. 16.3.1. The JCC comprises representatives of RCC’s management, Union Delegates and Officials from the Unions listed as parties to the Agreement who represent employees. The number of representatives from each of the parties eligible to attend should be no more than three (3) in total.
16.3.2. Parties are at liberty to substitute participants during the meeting, to provide subject matter expertise, provided that the number of representatives does not exceed the total in clause 16.3.1.
16.3.3. The parties commit to the effective operation of the JCC and will provide the necessary support to successfully implement its agreed terms of reference.
