Common use of Stop Orders Clause in Contracts

Stop Orders. The Company shall use its best efforts to prevent the issuance of any stop order or other suspension of effectiveness of the Registration Statement, or the suspension of the qualification of any of the Registrable Securities for sale in any jurisdiction and, if such an order or suspension is issued, to obtain the withdrawal of such order or suspension at the earliest possible moment and to notify the Holder who holds Registrable Securities being sold of the issuance of such order and the resolution thereof or its receipt of actual notice of the initiation or threat of any proceeding for such purpose.

Stop Orders. The Company shall use its best efforts Promptly notify Holders of the Registerable Securities of the threat of issuance by the SEC of any stop order suspending the effectiveness of the registration statement or the initiation of any proceeding for that purpose, and make every reasonable effort to prevent the entry of any order suspending the effectiveness of the registration statement. In the event of the issuance of any stop order or other suspension of suspending the effectiveness of the Registration Statementa registration statement, or of any order suspending or preventing the suspension use of any related prospectus or suspending the qualification of any of the Registrable Registerable Securities included in such registration statement for sale in any jurisdiction andjurisdiction, if such an order or suspension is issued, the Company will use its reasonable best efforts promptly to obtain the withdrawal of such order or suspension at the earliest possible moment and to notify the Holder who holds Registrable Securities being sold of the issuance of such order and the resolution thereof or its receipt of actual notice of the initiation or threat of any proceeding for such purposeorder.

The Company shall use its best commercially reasonable efforts to prevent the issuance of any stop order or other suspension of effectiveness of the a Registration Statement, or the suspension of the qualification of any of the Registrable Securities for sale in any jurisdiction and, if such an order or suspension is issued, to obtain the withdrawal of such order or suspension at the earliest possible moment practicable time, and to the Company shall immediately notify all Selling Securityholders and, in the Holder who holds Registrable Securities being sold event of an underwritten offering, the managing underwriter(s), of the issuance of such order and the resolution thereof or its receipt of actual notice of the initiation or threat of any proceeding for such purposethereof.

The Company shall use its best efforts as expeditiously as possible notify the Executive of the threat of issuance by the Commission of any stop order suspending the effectiveness of any Registration Statement or the initiation of any proceeding for that purpose, and make every reasonable effort to prevent the entry of any order suspending the effectiveness of any Registration Statement. In the event of the issuance of any stop order or other suspension of suspending the effectiveness of the any Registration Statement, or of any order suspending or preventing the suspension use of any related prospectus or suspending the qualification of any of the Registrable Securities Underlying Shares included in such Registration Statement for sale in any jurisdiction andjurisdiction, if such an order or suspension is issued, the Company will use its reasonable best efforts promptly to obtain the withdrawal of such order or suspension at the earliest possible moment and to notify the Holder who holds Registrable Securities being sold of the issuance of such order and the resolution thereof or its receipt of actual notice of the initiation or threat of any proceeding for such purposeorder.

The Company shall promptly inform the Shareholders after it has received notice or obtained knowledge thereof of the issuance by the SEC of any stop order suspending the effectiveness of the Registration Statement, of the suspension of the qualification of the Registered Securities for offering or sale in any jurisdiction, or of the initiation or threatening of any proceeding for any such purpose if such stop order, suspension or proceeding would prohibit the resale of the Registered Securities by any Shareholder; and it will promptly use its reasonable best efforts to prevent the issuance of any stop order or other suspension of effectiveness of the Registration Statement, or the suspension of the qualification of any of the Registrable Securities for sale in any jurisdiction and, to obtain its withdrawal if such an a stop order or suspension is should be issued, to obtain the withdrawal of such order or suspension at the earliest possible moment and to notify the Holder who holds Registrable Securities being sold of the issuance of such order and the resolution thereof or its receipt of actual notice of the initiation or threat of any proceeding for such purpose.
