Statutory Approval. Except as described in Section 5.2(b) of the Parent Disclosure Schedule (as defined in Section 7.6) (the "Parent Required Statutory Approvals"), no declaration, filing or registration with, or notice to or authorization, consent or approval of, any Governmental Authority is necessary for the execution and delivery of this Agreement by Parent or Merger Sub or the consummation by Parent or Merger Sub of the transactions contemplated hereby, the failure to obtain, make or give which would have, individually or in the aggregate, a material adverse effect on the ability of Parent and Merger Sub to consummate the Mergers in accordance with this Agreement (any such material adverse effect being hereafter referred to as a "Parent Material Adverse Effect"), it being understood that references in this Agreement to "obtaining" such Parent Required Statutory Approvals shall mean making such declarations, filings or registrations; giving such notices; obtaining such authorizations, consents or approvals; and having such waiting periods expire as are necessary to avoid a violation of law.
Statutory Approval.
7.1 You must obtain all necessary statutory approvals in relation to the Project, including those specified in item 6 of the Schedule, and You must give Us, within six months after the Date of this Agreement, satisfactory written evidence that these statutory approvals have been obtained and that they are sufficient for You to Commence Construction within twelve months after the Date of this Agreement.
7.2 If You do not comply with the requirement in subclause 7.1, We may at Our sole discretion:
(a) suspend payment of the Funds until the evidence of the statutory approvals referred to in subclause 7.1 has been received, or
(b) terminate this Agreement in accordance with clause 23.
Statutory Approval. 24-30-202(1), C.R.S. This Agreement shall not be valid until it has been approved by the Colorado State Controller or designee. If this Agreement is for a Major Information Technology Project, as defined in §24-37.5-102(2.6), C.R.S., then this Agreement shall not be valid until it has been approved by the State’s Chief Information Officer or designee.

Except for Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇trust Improvements Act clearance (the "Parent Required Statutory Approval"), and, to the extent required, filings or notices by Parent in respect of the application for approval of the Merger by the New Jersey Board of Public Utilities, no declaration, filing or registration with, or notice to or authorization, consent or approval of, any Governmental Authority is necessary for the execution and delivery of this Agreement by Parent and Merger Sub or the consummation by Parent and Merger Sub of the transactions contemplated hereby, the failure to obtain, make or give which would reasonably be expected to have, in the aggregate, a Parent Material Adverse Effect.
Statutory Approval. This Lease is subject to the approval of the Minister for Lands and Physical Planning.
Statutory Approval. The Principal will obtain high-level statutory approvals to facilitate work on the Project. The approvals will include:
(a) mining proposal approval from the WA Department of Mines, Industry Regulation and Safety (DMIRS);
(b) vegetation clearing via the mining proposal; and
(c) groundwater abstraction (5C) licence. The Contractor must obtain any other statutory and regulatory approvals deemed necessary to carry out and complete the Work Order Scope. These may include, but are not limited to;
(a) building licence applications as required;
(b) Department of Health applications as required; and
(c) clearing and any other permits to work as required.
