Status and Governmental Licences. 3.1.4.1. The Vendor is a corporation duly incorporated, validly existing and in good standing in all respects under the laws of its jurisdiction of incorporation. The Vendor has all necessary corporate power to own, lease and operate its assets, properties and business and to carry on its business as it is now being conducted and is in good standing in every jurisdiction in which the nature of its business or the location of its properties requires such qualification or licensing.
