Status and Content of the Prospectus. The Prospectus, as of its date, at the time it is filed with the Commission and at the Closing Time, will conform in all material respects with the requirements of the 1933 Act and the 1933 Act Regulations and will not contain an untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading. If the Prospectus is amended or supplemented after its date and before the Closing Time, the Prospectus, as so amended or supplemented, as of the date of such amendment or supplement, at the time such amendment or supplement is filed with the Commission and at the Closing Time, will not contain an untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading (the representations and warranties contained in this sentence being in addition to, and not in substitution for, those contained in the preceding sentence). The Prospectus delivered to the Underwriters in connection with the offering of the Securities, and any amendment or supplement thereto, will be identical to the copies thereof filed electronically with the Commission through XXXXX, except to the extent permitted by Regulation S-T.
