Common use of Statement Regarding Adjustments Clause in Contracts

Statement Regarding Adjustments. Whenever the Exercise Price or the Exercise Number shall be adjusted as provided in this Article II, the Company shall forthwith file at the principal office of the Company a statement showing in reasonable detail the facts requiring such adjustment and the Exercise Price that shall be in effect and the Exercise Number after such adjustment. The Company shall deliver to the Warrant Agent a copy of such statement and shall cause a copy of such statement to be sent or communicated to the Holders pursuant to Section 4.1.

The Company shall deliver to the Warrant Agent a copy of such statement and shall cause a copy of such statement to be sent or communicated to the Holders and beneficial holders of Book-Entry Only Warrants pursuant to Section 4.16.03.

Whenever the Exercise Price or the Exercise Number shall be adjusted as provided in this Article IIIV, the Company shall forthwith promptly file at the principal office of the Company Warrant Office a statement showing in reasonable detail the facts requiring such adjustment and the Exercise Price that shall be in and new number of shares of Common Stock issuable upon exercise of a Warrant after giving effect to such adjustment, and the Exercise Number after such adjustment. The Company shall deliver to the Warrant Agent a copy of such statement and shall also cause a copy of such statement to be sent or communicated delivered to the Holders pursuant to Section 4.1Warrantholders. Each such statement shall be signed by the Company's president or chief financial officer.
