Common use of Stated Capital Clause in Contracts

Stated Capital. Upon the Amalgamation, Amalco shall add to the stated capital account maintained in respect of the Amalco Shares an amount equal to the aggregate paid up capital for purposes of the Tax Act of the Genterra Shares immediately before the Effective Time plus the aggregate paid up capital for purposes of the Tax Act of the CMI Shares immediately before the Effective Time.

Stated Capital. (a) Upon the Amalgamation, Amalco shall add to the stated capital account maintained in respect of the Amalco Shares an amount equal to the aggregate paid up capital for purposes of the Tax Act of the Genterra Newco Shares and the Interrobang Shares immediately before the Effective Time plus Time. (b) Upon the Amalgamation, Pharmadrug shall add to the stated capital account maintained in respect of the Pharmadrug Shares an amount equal to the aggregate paid up capital for purposes of the Tax Act of the CMI Interrobang Shares immediately before the Effective Time.
