Common use of Standard of Care; Reliance on Records and Instructions; Indemnification Clause in Contracts

Standard of Care; Reliance on Records and Instructions; Indemnification. BISYS shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.

The Trust Company agrees to indemnify and hold harmless BISYSIMG, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYSIMG' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS IMG by the TrustCompany, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS IMG in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS IMG shall give the Trust Company written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSIMG.

The Trust agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' ’ actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, ; negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.

Standard of Care; Reliance on Records and Instructions; Indemnification. BISYS Winsbury shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS Winsbury in the absence of bad faith, willful misfeasance, negligence misfeasance or from reckless disregard by it of its obligations and dutiesgross negligence. The Trust agrees to indemnify and hold harmless BISYSWinsbury, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Winsbury's actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS Winsbury by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS Winsbury in cases of its own bad faithwillful misfeasance or gross negligence, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Winsbury shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.to

Standard of Care; Reliance on Records and Instructions; Indemnification. BISYS (a) BFS and BQPS shall use its their best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust Fund for any action taken or omitted by BISYS them in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it them of its their obligations and duties. The Trust BFS and BQPS each agrees to indemnify and hold harmless BISYS, the Fund and its employees, agents, directorstrustees, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, reasonable counsel fees and other expenses of every nature and character (i) arising out of the indemnifying party's bad faith, willful misfeasance, negligence or reckless disregard of its obligations and duties hereunder; (ii) arising out of any breach by the indemnifying party of a material provision of this Agreement; (iii) arising out of any breach by the indemnifying party of any representation, warranty or covenant made in any way relating to BISYS' actions taken this Agreement; or nonactions with respect to the performance of services under this Agreement or (iv) based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS the Fund by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereofindemnifying party; provided that this indemnification shall not apply to actions or omissions of BISYS the Fund and its employees, agents, trustees, officers and nominees in cases of its their own bad faith, willful misfeasance, negligence or from reckless disregard by it them of its their obligations and duties; and further provided that that, prior to confessing any claim against it which may be the subject of this indemnification, BISYS the Fund shall give the Trust each of BFS and BQPS written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSthe Fund.

Standard of Care; Reliance on Records and Instructions; Indemnification. BISYS XXX shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS XXX in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust agrees to indemnify and hold harmless BISYSXXX, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' PAM's actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS XXX by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS XXX in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS XXX shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSXXX.

BISYS shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust Company for any action taken or omitted by BISYS in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust Company agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, reasonable counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS by the TrustCompany, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS BISYS, its employees, agents, directors, officers or nominees, in cases of its their own bad faith, willful misfeasance, negligence or from reckless disregard by it them of its their obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust Company written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS. BISYS agrees to indemnify and hold harmless the Company, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, reasonable counsel fees and other expenses of every nature and character which the Company may sustain or incur or which may be asserted against the Company by any person as a result of any action taken or omitted to be taken by BISYS which constitutes bad faith, negligence, reckless disregard or willful misfeasance or arising out of a failure of BISYS to comply with this Agreement or a breach by BISYS of any representation or warranty contained in this Agreement or the attached Schedules; provided, that this indemnification shall not apply to actions or omissions of the Company, its employees, agents, directors, officers and nominees in cases of their own bad faith, willful misfeasance, negligence or from reckless disregard by them of their obligations and duties; and further provided, that prior to confessing any claim against it which may be the subject of this indemnification, the Company shall give BISYS written notice of and reasonable opportunity to defend against said claim in its own name or in the name of the Company.

BISYS shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS in the absence of bad faith, willful misfeasance, negligence misfeasance or from reckless disregard by it of its obligations and dutiesgross negligence. The Trust Each Fund agrees to indemnify and hold harmless BISYS, its subsidiaries, affiliates, employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement with respect to such Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS by the Trust, Trust or the investment adviser and on any records record provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faithwillful misfeasance or gross negligence, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.

BISYS Winsbury shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS Winsbury in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust A Fund agrees to indemnify and hold harmless BISYSWinsbury, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Winsbury's actions taken or nonactions with respect to the performance of services under this Agreement with respect to such Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS Winsbury by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS Winsbury in cases of its own bad faith, willful misfeasance, gross negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Winsbury shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSWinsbury.

BISYS Fund Accountant shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS Fund Accountant in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust A Fund agrees to indemnify and hold harmless BISYSFund Accountant, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Fund Accountant's actions taken or nonactions with respect to the performance of services under this Agreement with respect to such Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS Fund Accountant by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS Fund Accountant in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Fund accountant shall give the Trust Company written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSFund Accountant.

BISYS shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to Old Kent or the Trust Company for any action taken or omitted by BISYS in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust Old Kent agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, reasonable counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant Company or custodian thereofOld Kent; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.give

BISYS The Sub-Administrator shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to Winsbury or the Trust for any action taken or omitted by BISYS the Sub-Administrator in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust Winsbury agrees to indemnify and hold harmless BISYSthe Sub-Administrator, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' the Sub-Administrator's actions taken or nonactions with respect to the performance of services under this Agreement with respect to a Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS the Sub-Administrator by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereofa duly authorized representative of Winsbury; provided that this indemnification shall not apply to actions or omissions of BISYS the Sub-Administrator in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS the Sub- Administrator shall give the Trust Winsbury written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSthe Sub-Administrator.

BISYS Fund Accountant shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust Fund for any action taken or omitted by BISYS Fund Accountant in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust Fund agrees to indemnify and hold harmless BISYSFund Accountant, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Fund Accountant’s actions taken or nonactions with respect to the performance of services under this Agreement with respect to the Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to the Fund given or made to BISYS Fund Accountant by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereofFund; provided that this indemnification shall not apply to actions or omissions of BISYS Fund Accountant in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Fund Accountant shall give the Trust Fund written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSFund Accountant.

BISYS The Administrator shall not be liable to the Trust or the Sub- Administrator with respect to services to be provided by the Sub-Administrator hereunder nor for any breach by the Sub-Administrator of any of the terms and conditions hereunder. The Sub-Administrator shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS the Sub- Administrator in the absence of bad faith, willful misfeasance, negligence or from a reckless disregard by it of its obligations and duties. The Trust Administrator agrees to indemnify and hold harmless BISYSthe Sub-Administrator, its employees, agents, directors, officers and nominees from and against any and all claimsliabilities or expenses, demandsincluding but not limited to attorney fees, in connection with any claims or regulatory actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, based upon reasonable reliance on informationwritten information or records with respect to a Fund given to the Sub- Administrator by a duly authorized representative of the Administrator, recordsFund Accountant, instructions or requests given or made to BISYS by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereofDistributor; provided that this indemnification shall not apply to actions or omissions of BISYS the Sub-Administrator in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS the Sub- Administrator shall give the Trust Administrator written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSthe Sub-Administrator.

The Trust A Fund agrees to indemnify and hold harmless BISYSFund Accountant, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Fund Accountant's actions taken or nonactions with respect to the performance of services under this Agreement with respect to such Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS Fund Accountant by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS Fund Accountant in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Fund Accountant shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSFund Accountant.

The Trust Company agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, reasonable counsel fees and other reasonable expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS by the TrustCompany, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust Company written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.

Standard of Care; Reliance on Records and Instructions; Indemnification. BISYS shall use its best efforts to ensure insure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of with respect to its obligations and duties. The Trust A Fund agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement with respect to such Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS by a duly authorized representative of the Trust; provided, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided provided, that prior to confessing any claim against it BISYS which may be the subject of this indemnification, BISYS shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.written

The Trust Administrator agrees to indemnify and hold harmless BISYS, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' actions taken or nonactions with respect to the performance of services under this Agreement with respect to each Fund or based, if applicable, upon reasonable reliance on information, records, instructions or requests with respect to such Fund given or made to BISYS by a duly authorized representative of the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; , and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS shall give the Trust Administrator written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYS.

BISYS XAM shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust for any action taken or omitted by BISYS XAM in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust agrees to indemnify and hold harmless BISYSXAM, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' XAM's actions taken or nonactions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS XAM by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS XAM in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS XAM shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSXAM.

BISYS Miles Capital shall use its best efforts to ensure the accuracy of all services performed under this Agreement, but shall not be liable to the Trust Company for any action taken or omitted by BISYS Miles Capital in the absence of bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties. The Trust Company agrees to indemnify and hold harmless BISYSMiles Capital, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYS' Miles Capital’s actions taken or nonactions actions not taken with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS Miles Capital by the TrustCompany, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS Miles Capital in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS Miles Capital shall give the Trust Company written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSMiles Capital.

The Trust agrees to indemnify and hold harmless BISYSUSTB, its employees, agents, directors, officers and nominees from and against any and all claims, demands, actions and suits, whether groundless or otherwise, and from and against any and all judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising out of or in any way relating to BISYSUSTB' actions taken or nonactions non actions with respect to the performance of services under this Agreement or based, if applicable, upon reasonable reliance on information, records, instructions or requests given or made to BISYS USTB by the Trust, the investment adviser and on any records provided by any fund accountant or custodian thereof; provided that this indemnification shall not apply to actions or omissions of BISYS USTB in cases of its own bad faith, willful misfeasance, negligence or from reckless disregard by it of its obligations and duties; and further provided that prior to confessing any claim against it which may be the subject of this indemnification, BISYS USTB shall give the Trust written notice of and reasonable opportunity to defend against said claim in its own name or in the name of BISYSUSTB.
