Standard Exceptions. Confidential Information will not include information that Recipient can demonstrate by competent written proof: (a) is now, or hereafter becomes, generally known or available in the public domain through no act or failure to act by Recipient; (b) is already known by Recipient at the time of receiving such information; (c) is hereafter furnished to Recipient by a third party, as a matter of right and without restriction on its disclosure; (d) is independently developed by Recipient without any use of Confidential Information; or (e) is approved for disclosure in writing by Discloser.
