Common use of Stamp or Other Transfer Taxes Clause in Contracts

Stamp or Other Transfer Taxes. Upon any sale of Exchangeable Shares to Patch pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Patch Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of, or transferred to, the Shareholder of the Exchangeable Shares so sold without charge to the Shareholder of the Exchangeable Shares so sold; provided, however that such Shareholder: (i) shall pay (and none of Patch, Exchangeco nor the Trustee shall be required to pay) any documentary, stamp, transfer or other similar taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder; or (ii) shall have established to the satisfaction of the Trustee, Patch and Exchangeco that such taxes, if any, have been paid.

Upon any sale of Exchangeable Shares ----------------------------- to Patch Entrust pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Patch Entrust Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of, or transferred to, of the Shareholder Holder of the Exchangeable Shares so sold or in such names as such Holder may otherwise direct in writing without charge to the Shareholder of the Exchangeable Shares so sold; Holder, provided, however however, that such Shareholder: Holder (ia) shall pay (and none of Patch, Exchangeco neither Entrust nor the Trustee Corporation shall be required to pay) any documentary, stamp, transfer or other similar taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder; Holder or (iib) shall have established establish to the satisfaction of Entrust and the Trustee, Patch and Exchangeco Corporation that such taxes, if any, have been paid.

Upon any sale exchange of Exchangeable Shares to Patch pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Patch BEI Shares to be delivered in connection with the payment of the total purchase price consideration therefor shall be issued in the name of, or transferred to, of the Shareholder Holder of the Exchangeable Shares so sold exchanged or in such names as such Holder may otherwise direct in writing without charge to the Shareholder Holder of the Exchangeable Shares so sold; exchanged, provided, however however, that such Shareholder: Holder (ia) shall pay (and none of Patch, neither BEI nor Exchangeco nor the Trustee shall be required to pay) any documentary, stamp, transfer or other similar taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder; Holder or (iib) shall have established to the satisfaction of the Trustee, Patch BEI and Exchangeco that such taxes, if any, have been paid.

Upon any sale of Exchangeable Shares to Patch the Parent pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Patch Parent Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of, or transferred to, of the Shareholder of the Exchangeable Shares so sold without charge to the Shareholder of the Exchangeable Shares so sold; provided, however that such Shareholder: Shareholder (ia) shall pay (and none of Patchneither the Parent, Exchangeco Purchaser nor the Trustee shall be required to pay) any documentary, stamp, transfer transfer, withholding or other similar taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder; , or (iib) shall have established to the satisfaction of the Trustee, Patch the Parent and Exchangeco Purchaser that such taxes, if any, have been paid.
