Common use of Stamp and Other Similar Taxes Clause in Contracts

Stamp and Other Similar Taxes. The Grantors jointly and severally agree to indemnify and hold harmless the Collateral Agent and each Secured Party from, and shall reimburse the Collateral Agent and each Secured Party for, any present or future claim for liability for any stamp or other similar tax and any penalties or interest with respect thereto, which may be assessed, levied or collected by any jurisdiction in connection with this Collateral Agent Agreement, any other Security Document, the Secured Debt Collateral, or the attachment or perfection of the Security Interest granted to the Collateral Agent in any Collateral. The obligations of the Grantors under this Section 6.4 shall survive the termination of the other provisions of this Collateral Agent Agreement.

The Grantors jointly and severally agree to upon demand indemnify and hold harmless the Collateral Agent Trustee and each Secured Party from, and shall reimburse the Collateral Agent Trustee and each Secured Party for, any present or future claim for liability for any stamp or other similar tax and any penalties or interest with respect thereto, thereto which may be assessed, levied or collected by any jurisdiction in connection with this any Shared Collateral Agent Agreement, any other Security Document, the Secured Debt Collateral, Trust Estate or the attachment or perfection of the Security Interest security interest granted to the Collateral Agent Trustee in any Shared Collateral. The obligations of the Grantors under this Section 6.4 5.3 shall survive the termination of the other provisions of this Agreement and the resignation or removal of the Collateral Agent AgreementTrustee.
