Common use of STAFF TRANSFER Clause in Contracts

STAFF TRANSFER. 9.1 The Parties agree that: 9.1.1 where the commencement of the provision of the Services or any part of the Services results in one or more Relevant Transfers, Schedule 2 (Staff Transfer) shall apply as follows: (a) where the Relevant Transfer involves the transfer of Transferring DFID Employees, Part A of Schedule 2 (Staff Transfer) shall apply; (b) where the Relevant Transfer involves the transfer of Transferring Former Supplier Employees, Part B of Schedule 2 (Staff Transfer) shall apply; (c) where the Relevant Transfer involves the transfer of Transferring DFID Employees and Transferring Former Supplier Employees, Parts A and B of Schedule 2 (Staff Transfer) shall apply; and (d) Part C of Schedule 2 (Staff Transfer) shall not apply. 9.1.2 where commencement of the provision of the Services or a part of the Services does not result in a Relevant Transfer, Part C of Schedule 2 (Staff Transfer) shall apply and Parts A and B of Schedule 2 (Staff Transfer) shall not apply; and 9.1.3 Part D of Schedule 2 (Staff Transfer) shall apply on the expiry or termination of the Services or any part of the Services; 9.2 The Supplier shall both during and after the Term indemnify DFID against all Employee Liabilities that may arise as a result of any claims brought against DFID by any person where such claim arises from any act or omission of the Supplier or any Supplier Personnel.

STAFF TRANSFER. 9.1 The Parties agree that: 9.1.1 where the commencement of the provision of the Services or any part of the Services results in one or more Relevant Transfers, Schedule 2 (Staff Transfer) shall apply as follows: (a) where the Relevant Transfer involves the transfer of Transferring DFID FCDO Employees, Part A of Schedule 2 (Staff Transfer) shall apply; (b) where the Relevant Transfer involves the transfer of Transferring Former Supplier Employees, Part B of Schedule 2 (Staff Transfer) shall apply; (c) where the Relevant Transfer involves the transfer of Transferring DFID FCDO Employees and Transferring Former Supplier Employees, Parts A and B of Schedule 2 (Staff Transfer) shall apply; and (d) Part C of Schedule 2 (Staff Transfer) shall not apply. 9.1.2 where commencement of the provision of the Services or a part of the Services does not result in a Relevant Transfer, Part C of Schedule 2 (Staff Transfer) shall apply and Parts A and B of Schedule 2 (Staff Transfer) shall not apply; and 9.1.3 Part D of Schedule 2 (Staff Transfer) shall apply on the expiry or termination of the Services or any part of the Services; 9.2 The Supplier shall both during and after the Term indemnify DFID FCDO against all Employee Liabilities that may arise as a result of any claims brought against DFID FCDO by any person where such claim arises from any act or omission of the Supplier or any Supplier Personnel.

STAFF TRANSFER. 9.1 The Parties agree that:‌ 9.1.1 where 17.1 This Clause shall not apply if there are Goods but no Services Under this Contract. 17.2 Where the commencement of the provision of the Services or any part of the Services results re- sults in one or more Relevant Transfers, Contract Schedule 2 5 (Staff Transfer) shall apply as follows: (a) where the Relevant Transfer involves the transfer of Transferring DFID EmployeesCustomer Em- ployees, Part A of Contract Schedule 2 5 (Staff Transfer) shall apply; (b) where the Relevant Transfer involves the transfer of Transferring Former Supplier Employees, Part B of Contract Schedule 2 5 (Staff Transfer) shall apply; (c) where the Relevant Transfer involves the transfer of Transferring DFID Customer Employees and Transferring Former Supplier Employees, Parts A and B of Contract Schedule 2 5 (Staff Transfer) shall apply; and (d) Part C of Contract Schedule 2 5 (Staff Transfer) shall not apply.; 9.1.2 where 17.3 Where commencement of the provision of the Services or a part of the Services does not result in a Relevant Transfer, Part C of Contract Schedule 2 5 (Staff Transfer) shall apply and Parts A and B of Contract Schedule 2 5 (Staff Transfer) shall not apply; and. 9.1.3 17.4 Part D of Contract Schedule 2 5 (Staff Transfer) shall apply on the expiry or termination of the Services or any part of the Services;. 9.2 17.5 The Supplier shall both during and after the Term Contract Period indemnify DFID the Customer against all Employee Liabilities that may arise as a result of any claims brought against DFID the Customer by any person where such claim arises from any act or omission of the Supplier or any Supplier Personnel.

STAFF TRANSFER. 9.1 28.1 This Clause 28 shall not apply if there are Goods but no Services under this Contract. 28.2 The Parties agree that: 9.1.1 28.2.1 where the commencement of the provision of the Services or any part of the Services results in one or more Relevant Transfers, Contract Schedule 2 10 (Staff Transfer) shall apply as follows: (a) where the Relevant Transfer involves the transfer of Transferring DFID Customer Employees, Part A of Contract Schedule 2 10 (Staff Transfer) shall apply; (b) where the Relevant Transfer involves the transfer of Transferring Former Supplier Employees, Part B of Contract Schedule 2 10 (Staff Transfer) shall apply; (c) where the Relevant Transfer involves the transfer of Transferring DFID Customer Employees and Transferring Former Supplier Employees, Parts A and B of Contract Schedule 2 10 (Staff Transfer) shall apply; and (d) Part C of Contract Schedule 2 10 (Staff Transfer) shall not apply.; 9.1.2 28.2.2 where commencement of the provision of the Services or a part of the Services does not result in a Relevant Transfer, Part C of Contract Schedule 2 10 (Staff Transfer) shall apply and Parts A and B of Contract Schedule 2 10 (Staff Transfer) shall not apply; and 9.1.3 28.2.3 Part D of Contract Schedule 2 10 (Staff Transfer) shall apply on the expiry or termination of the Services or any part of the Services; 9.2 28.3 The Supplier shall both during and after the Term Contract Period indemnify DFID the Customer against all Employee Liabilities that may arise as a result of any claims brought against DFID the Customer by any person where such claim arises from any act or omission of the Supplier or any Supplier Personnel.

STAFF TRANSFER. 9.1 28.1 The Parties agree that: 9.1.1 (a) if providing the Services means staff must be transferred from the Client to the Agency, where the commencement of the provision of the Services or any part of the Services results in one or more Relevant Transfers, Schedule 2 3 (Staff Transfer) shall will apply as follows: (ai) where the Relevant Transfer involves the transfer of Transferring DFID Client Employees, Part A of Schedule 2 3 (Staff Transfer) shall will apply; (bii) where the Relevant Transfer involves the transfer of Transferring Former Supplier Agency Employees, Part B of Schedule 2 3 (Staff Transfer) shall will apply; (ciii) where the Relevant Transfer involves the transfer of Transferring DFID Client Employees and Transferring Former Supplier Agency Employees, Parts A and B of Schedule 2 3 (Staff Transfer) shall will apply; , and (div) Part C of Schedule 2 3 (Staff Transfer) shall will not apply. 9.1.2 where commencement of the provision of the Services or a part of 28.2 Where providing the Services does not result in a Relevant Transfer, Part C of Schedule 2 3 (Staff Transfer)) shall will apply and Parts A and B of Schedule 2 3 (Staff Transfer) shall not apply; and 9.1.3 28.3 Part D of Schedule 2 3 (Staff Transfer) shall will apply on the expiry or termination of the Services or any part of the Services;. 9.2 The Supplier shall both 28.4 Both during and after the Term Term, the Agency will indemnify DFID the Client against all Employee Liabilities that may arise as a result of any claims brought against DFID by any person where such claim arises from the Client due to any act or omission of the Supplier Agency or any Supplier PersonnelAgency personnel.
