Specified SPVs. On or prior to the Closing Date (or such later date as may be agreed to by the Administrative Agent in its reasonable discretion), each Specified SPV listed on Schedule 5.01 shall have been dissolved or merged with and into any Loan Party; provided that such Loan Party shall be the continuing or surviving corporation.
