SOURCE OF INSTRUCTIONS. The Innovator shall neither seek nor accept instructions from any authority external to UNDP in connection with the performance of its obligations under the Agreement. Should any authority external to UNDP seek to impose any instructions concerning or restrictions on the Innovator’s performance under the Agreement, the Innovator shall promptly notify UNDP and provide all reasonable assistance required by UNDP. The Innovator shall not take any action in respect of the performance of its obligations under the Agreement that may adversely affect the interests of UNDP or the United Nations, and the Innovator shall perform its obligations under the Agreement with the fullest regard to the interests of UNDP.
