Common use of Solvency: Transferor Clause in Contracts

Solvency: Transferor. Each of the Transferor and the Issuer will be Solvent following the consummation on each Increase Date of the transactions contemplated by this Agreement, the Indenture, the Indenture Supplement and the other Transaction Documents to which it is a party, including the transfer by the Transferor to the Issuer of the Transferred Assets. The transfers of the Receivables to the Issuer for the benefit of the Noteholders are not being made by the Transferor with actual intent to hinder, delay or defraud itself or its creditors.
