Common use of Software upgrades and modifications Clause in Contracts

Software upgrades and modifications. 4.1 The Supplier may, from time to time, develop and make available Updates and other modifications for the Licensed Software. If the Customer wishes to receive any Updates and modifications, it shall be required to purchase such Updates and modifications, at an additional cost, from the Supplier unless the Customer has entered into a support and maintenance agreement, which has not expired at the time of such request, under which it has been agreed that such Updates and modifications shall be provided to the Customer. 4.2 The Supplier may, within a reasonable time period, cease to support previous versions of the Software. A statement containing details of those previous versions supported by the Supplier is available on its website or from its registered office on request. 4.3 Where a new version of the Licensed Software is provided to the Customer, the Customer may continue to use both old and new versions of the Software, but its overall use (or both old and new versions together) shall be restricted to the number of copies of the Licensed Software for which it has valid licences. So, for example, if the Customer has licences for 100 copies and is using two versions of the Licensed Software (old and new), it cannot use any combination of old and new versions in excess of 100 copies.
