Common use of SOFTWARE EVALUATION Clause in Contracts

SOFTWARE EVALUATION. 18.1 Supplier, at no charge, will provide new Software features and functionality on a trial basis to allow SWCO to evaluate the applicability of such Software to its business needs and purposes. (1) SWCO shall issue an Order to Supplier in accordance with this Agreement. (2) The term of the evaluation shall be thirty (30) days unless otherwise stated in the Order. (3) SWCO shall use the Software provided under this Section 18 for the sole purpose of evaluation. Use of the Software for evaluation shall not obligate SWCO to license Software for future use. 18.2 SWCO shall promptly return the Software and accompanying documentation to Supplier upon completion of the evaluation period or shall notify Supplier of its intent to license the Software. If SWCO intends to license such Software, SWCO shall issue an Order. 18.3 SWCO shall not duplicate the Software, any portion thereof, or any associated documentation, unless necessary for the evaluation.
