Software Development Kit Clause Samples

Software Development Kit. 1.1.1 Subject to and conditioned on Licensee’s compliance with the terms and conditions of this Agreement, Dialog hereby grants to Licensee, under Dialog’s (and Dialog’s licensors’) intellectual property rights embodied in the Software Development Kit (‘SDK’), the following non-exclusive, non- transferable, revocable (in accordance with the provisions hereof), royalty-free, fully paid-up, worldwide rights, without the right to sub-license (except as expressly permitted in this Agreement), and solely for the Permitted Use: a. to develop, at its own expense and risk, applications making use of the SDK and embedding the same into Dialog ICs; b. to modify the Sample Source Code related to the SDK to the extent necessary for customization of the applications, solely as limited by this Agreement and solely in relation to Dialog ICs; c. to manufacture or have manufactured Licensee’s products incorporating the developed applications into Dialog ICs, and market, sell and distribute such applications as integrated into Dialog ICs, on a worldwide basis to the end user, directly or indirectly; d. Licensee may distribute the Sample Source Code related to the SDK, including any applications (whether modified or unmodified), as a standalone product to Licensee’s customers or contractors (who shall not have the right to sublicense or further distribute the Sample Source Code), provided such distribution is solely in order to exercise Licensee’s rights under this Agreement (such parties are hereinafter referred to as “Authorized Third Parties”). Licensee shall ensure (and shall conclude suitable agreements so that any Authorized Third Parties shall ensure) that access to the Sample Source Code shall only be provided to those within its organization on a “need to know” basis.

Software Development Kit. SDK") shall mean all EMVO Software, specifications and EMVO Documentation provided by EMVO to the OBP in any form or media, for the development, implementation, testing, use and/or operation of the OBP Interface and/or the EMVO Gateway in connection with the European Hub, as may be amended by EMVO from time to time.

Software Development Kit. Upon execution of this Agreement, Developer is authorized to receive the Software that currently supports the AirBoss Application Platform as described in its Documentation. Use of the Software requires access to the AirBoss Application Platform server software and Developer may be assigned up to a maximum of five (5) registered user access accounts at any one time, each allocated for a six (6) month period. Individual user access accounts will be established by Geoworks upon receipt of a Registration Form completed by each user. Developer shall be responsible for acquiring any hardware or third party software or services necessary to use the Software, including but not limited to laptop computer, hand held device, modem etc. Developer shall also be responsible for making service arrangements with a wireless service provider supported by the Program and/or for obtaining an Internet connection.

Software Development Kit. A toolkit that a software developer uses to allow its software application to gain access to the EPM System.

Software Development Kit. LICENSEE agrees having received the ASR SDK and TTS SDK. As new SDK's become available, they will also be provided.

Software Development Kit. For some Licensed Products, Black Duck provides a software development kit (“SDK”) to Customer with the Licensed Product. Use of the SDK shall be governed by the Black Duck SDK terms included in the addendum attached to this Agreement.
