Society Commitment. If Member Society participates in the Career Center, then Member Society agrees to: (i) be responsible for the accuracy, quality and legality of information that Member Society submits (“Member Society Data”) to the Services, (ii) use commercially reasonable efforts to prevent unauthorized access to or use of the Services and notify CFA Institute promptly of any unauthorized access or use by Users of which Member Society becomes aware, and (iii) use the Career Center services only in accordance with applicable terms and conditions specified on the Career Center, all laws and regulations, and, unless otherwise approved by Career Center vendor in writing in advance, the Career Center Terms and Conditions (▇▇▇▇▇://▇▇▇▇▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/terms-and-conditions/) and Privacy Policy (▇▇▇▇▇://▇▇▇▇▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/privacy-policy/) as updated from time to time and any other written documentation provided to Member Society (collectively, the “Documentation”). Member Society shall not: (i) make the Career Center services available to anyone other than its Authorized Individuals, (ii) use the Career Center services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third party privacy rights, (iii) use the Career Center services to store or transmit viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents or programs, (iv) interfere with or disrupt the integrity or performance of the Career Center services or third-party data contained therein, (v) attempt to gain unauthorized access to the Career Center services or their related systems or networks, (vi) permit its personnel to access or use Career Center services in violation of any U.S. export law or regulation or in a U.S.-embargoed country (currently Cuba, Iran, North Korea, Sudan or Syria), (vii) create derivate works based on the Career Center services; (ix) copy, frame or mirror any part or content of the Career Center services, other than copying or framing on Member Society’s own intranets or otherwise for Member Society’s own internal business purposes; (x) reverse engineer the Career Center services; (xi) access the Career Center services in order to (a) build a competitive product or service, or (b) copy any features, functions or graphics of the Career Center services; or (xii) use the Career Center services to post information about jobs that Member Society knows or reasonably should know is not true, correct, and complete or which pertains to jobs that are not actually available at the time of posting.
