Smart Technology Clause Samples
Smart Technology. Purchaser agrees to use good faith efforts to incorporate so-called “smart building” and “smart community” technology (collectively, “Smart Technology”) into its applications for the Rezoning and/or the Remaining Permits. Prior to the expiration of the Contingency Period, the Parties shall agree upon which Smart Technology components are feasible to include in applications for the Rezoning and/or the Remaining Permits without Purchaser incurring unusual or extraordinary costs. For the avoidance of doubt, in no event shall Purchaser be required to incorporate Smart Technology into the Rezoning application if, in Purchaser’s sole discretion, such incorporation would adversely affect the feasibility of Purchaser obtaining the Rezoning or any other Remaining Permits for the Project, or result in Purchaser directly or indirectly incurring significant additional out-of-pocket costs in connection with the development of the Project.
Smart Technology. During the term of this Lease the Owner may, but is not obligated to, engage service providers to provide certain smart services (collectively referred to as the “Services”) in the Unit and the Community. The Services may include any features the Owner desires to add in the Unit and the Community including, but not limited to, the following: • Operations Applications (including software and mobile applications) to enable Resident to electronically control certain smart services via a computer using software or via a smart phone using a mobile application. • Entry Gate and Exterior Door Access System to enable electronic operation of gates and exterior doors to permit entry to the Community or portions of the Community. • Unit Door Lock to enable electronic operation of the door lock to the Unit. • Thermostat to enable electronic operation of the thermostat and temperature settings in the Unit. Some of the Services may require the use of equipment (“Equipment”) as well as other hardware to be installed in the Unit. Resident acknowledges that: (A) the Services are provided directly from a third-party provider; (B) the Owner is not a service provider; and
