Small Adjustments Sample Clauses
The "Small Adjustments" clause defines how minor changes or modifications to a contract or project are handled without requiring a formal amendment process. Typically, this clause allows the parties to make slight alterations—such as minor design tweaks, schedule shifts, or administrative updates—through informal agreement, often documented via email or a simple written note. Its core practical function is to streamline operations by enabling flexibility and efficiency, preventing unnecessary delays or administrative burdens for trivial changes.
Small Adjustments. No adjustment in the Exercise Price shall be required unless such adjustment would require an increase or decrease in the Exercise Price of at least one percent; provided, however, that any adjustments which by reason of this Section 3.4 are not required to be made immediately shall be carried forward and taken into account at the time of exercise of this Warrant or any subsequent adjustment in the Exercise Price which, singly or in combination with any adjustment carried forward, is required to be made under Sections 3.1 or 3.2.
