Simultaneous Transactions. All of the transactions contemplated by this Agreement shall be deemed to occur simultaneously, and no such transaction shall be deemed to have been consummated until all such transactions have been consummated.
Simultaneous Transactions. All actions taken and transactions consummated at the Closing shall be deemed to have occurred simultaneously, and no such transaction shall be considered consummated unless all are consummated; provided that, for the avoidance of doubt, the Restructuring Steps shall, or shall be deemed to, occur at the times and in the sequence set forth in Schedule B.
Simultaneous Transactions. The transactions and all deliveries contemplated in this Agreement shall be deemed to occur simultaneously on the Closing Date, and none shall be deemed completed until all are completed.

All documents required to be delivered at the Closing by any party hereunder, including this Agreement, shall be deemed initially delivered in escrow and no such document shall be released therefrom until all documents have been delivered in escrow and payment received, whereupon all shall be deemed released together.
Simultaneous Transactions. All four sales set forth in paragraph 1 shall be simultaneously consummated.

All transactions occurring at the Closing as specified in Section 2.5 and 2.6 shall be deemed to take place simultaneously and no transaction shall be deemed to have been completed and no document or certificate shall be deemed to have been delivered until all transactions are completed and all documents delivered. Simultaneous Transactions. All transactions set forth as part of the Exchange and the transactions contemplated by SECTIONS 5.1(d) AND 5.2(e) hereof shall be deemed to take place simultaneously and each transaction shall be contingent upon the consummation of all such transactions.
Simultaneous Transactions. Only subject to the provisions of Sections 10.1(b) and 12.6, the simultaneous sale and purchase of all the Shares and the Transferred Assets and the assumption of the Transferred Liabilities on the Closing Date is an essential condition to the obligations of the Parties hereunder.
