Simultaneous Transactions. All transactions set forth as part of the Exchange and the transactions contemplated by SECTIONS 5.1(d) AND 5.2(e) hereof shall be deemed to take place simultaneously and each transaction shall be contingent upon the consummation of all such transactions.
