Simetrica Clause Samples
Simetrica. ▇▇▇▇▇▇ shall be entitled to terminate this Agreement (including the Licence granted under this Agreement) immediately if:-
4.4.1 the Licensee does anything to bring, or which is likely to bring, the Tool or Values or the name or reputation of Simetrica-▇▇▇▇▇▇ into disrepute; or
4.4.2 a resolution is passed for the voluntary or compulsory liquidation of the Licensee or a receiver is appointed over all or part of its business; or
4.4.3 the Licensee repeatedly breaches any of the terms of this Agreement or breaches any material term of this Agreement.
Simetrica. ▇▇▇▇▇▇ may transfer their rights and obligations under these this agreement but the Licensee may not do so without Simetrica-▇▇▇▇▇▇’▇ prior written consent.
Simetrica. ▇▇▇▇▇▇ shall have the sole right to take action against third parties in respect of the Tool or Values licensed under this Agreement and, if required to do so by Simetrica-▇▇▇▇▇▇, the Licensee shall at Simetrica-▇▇▇▇▇▇’▇ cost co-operate fully with Simetrica-▇▇▇▇▇▇ in any such action.
Simetrica. ▇▇▇▇▇▇ warrant not to bring the Tool or Values or the Licensee into disrepute, nor to license the Values to third parties who will or are likely to bring the Values or the Licensee into disrepute.
