Signed documents. 2.1 The following original documents, each duly executed by the parties to it: (a) this Agreement; (b) the Fee Letter; and (c) in respect of each Guarantor: (i) a Global Assignment Agreement; and (ii) a Guarantee; 2.2 The original Charge Agreement, duly executed by each party to it and evidence that the Charge Agreement is validly created and perfected. 2.3 Evidence that all documentation required to perfect the Transaction Security created or evidenced pursuant to the Security Documents listed in paragraph 2.1 of this Schedule 1 has been executed and that such Transaction Security will be validly created and perfected immediately upon release of the Existing Security as it relates to the relevant ▇▇▇▇▇▇.
