Showroom. During the term of this Agreement, Licensee shall maintain a separate area in its showroom in New York, New York, exclusively for the display of finished Articles. Said showroom shall be staffed and maintained in a manner commensurate with the reputation and prestige of the Licensed Mxxx as designations for products of the highest quality.

Showroom. Licensee agrees to establish a separate showroom for the presentation and sale of the Licensed Products and to maintain, operate, decorate and staff the showroom in a manner consistent with that of the showrooms established for the presentation and sale of Licensor's other products and with the price structure of the Licensed Products. Licensor shall have a right of approval with respect to the location, design, layout and decoration of the showroom and all expenses incurred with respect to the design, construction, operation and maintenance of such showroom shall be borne by Licensee. Licensor and Licensee shall mutually agree to a budget for the construction of such showroom. Licensee shall admit Licensor's employees to its showroom and shall sell to such employees for their personal use (and not for resale) such Licensed Products as any such employee may reasonably request, at prices equal to the regular wholesale price less a discount equal to not less than thirty percent (30%) of such regular wholesale price.
Showroom. At all times during the term of this Agreement, Licensee shall, at Licensee’s sole cost and expense, construct and maintain in location reasonably approved by Licensor a separate and dedicated showroom for the continuous presentation of the Licensed Products. Such showroom shall, at Licensee’s sole cost and expense, be designed, constructed and furnished in all respects by Licensor’s designated architects and designers according to Licensor’s specifications and subject to Licensor’s approval. Upon completion, such showroom shall be subject to Licensor’s final review and approval, and shall thereafter be subject to Licensor’s continuing approval thereof, so as to assure reasonable periodic renovation to reflect Licensor’s showroom concepts and standards.

Showroom. The Products are best presented when they are displayed and dressed with contemporary & stylish furniture and accessories, in a well-kept showroom/ display area. It is a minimum requirement under this agreement that <XXXXXXX> has its showroom (indoor or outdoor) displaying one Product, fully dressed, from each of Nordic Garden Buildings’s current Product Ranges. Nordic Garden Buildings may, at its discretion provide financial support to <XXXXXXX> to purchase display models of the Products by means of a Showroom Account. Marketing of the Products <XXXXXXX> must use its best endeavours to promote the sale of the Products throughout the Territory and, subject to compliance by Nordic Garden Buildings with its obligations under this agreement, to satisfy market demand for them. <XXXXXXX> may, subject as provided in this agreement, promote and market the Products in the Territory in such manner as it thinks fit, and subject to clause 11.2 may resell the Products to its customers at such prices as its determines, but not advertise any discount or price below the RRP set by Nordic Garden Buildings unless agreed in writing by Nordic Garden Buildings. In connection with the promotion and marketing of the Products <XXXXXXX> must:- make clear, in all dealings with customers and prospective customers, that it is acting as distributor of the Products and not as agent of the Nordic Garden Buildings; comply with all legal requirements from time to time in force relating to the storage and sale of the Products; provide Nordic Garden Buildings with copies of his up-to-date price lists; . provide Nordic Garden Buildings on a monthly basis with a report of sales of the Products it has made in the preceding month, in such form and containing such other information as Nordic Garden Buildings reasonably requires; from time to time consult with Nordic Garden Buildings’s representatives to assess the state of the market in the Territory, and permit them to inspect any premises or documents used by <XXXXXXX> in connection with the sale of the Products; at the request of Nordic Garden Buildings provide it with copies of such sales aids as relate to the Products, including (without limiting the foregoing) catalogues, sales brochures and sales manuals; and use in relation to the Products only such advertising, promotional and selling materials as are approved in writing by Nordic Garden Buildings. Showroom. Licensee may display Licensed Products for sale only in -------- a separate showroom, designed and displayed in accordance with Hilfiger's specifications, apart from any showroom(s) in which Licensee or another business may sell goods other than Licensed Products. The style and manner in which Licensed Products will be displayed in said showroom are subject to Hilfiger's approval. Hilfiger reserves the right to approve the location of Licensee's primary showroom required above.

Showroom. Licensee may display Licensed Products for sale only in a separate showroom exclusive to Licensed Products, designed, displayed and fixtured in accordance with THL's specifications (as may be updated from time to time throughout the License Period) The style and manner in which Licensed Products will be displayed in said showroom are subject to THL’s approval.
Showroom. In connection with Tenant's use of the Premises for showrooms, Tenant, at its sole cost and expense and subject to, and upon compliance with, this Article, Articles 5 and 9 and all Requirements, may construct and maintain up to six showrooms in the Premises not exceeding 20,000 useable square feet in the aggregate in size. Tenant may use such showrooms for the conduct of runway/fashion shows in such number, time of year and duration as is consistent with the standards of Tenant's then current industry; provided, however, that (i) not more than one hundred fifty persons shall occupy such showrooms at any given time, (ii) such shows shall not exceed three days in duration, (iii) Tenant shall endeavor (without liability for failure to do so) to give Landlord reasonable advance notice of the occurrence of any such show, (iv) Tenant shall not conduct more than twelve such shows annually, which shows shall occur at substantially evenly spaced intervals throughout the year, and (v) Tenant at Tenant's sole cost and expense, shall obtain and maintain any permits or licenses (in addition to an amended certificate of occupancy) required by applicable Requirements in order to operate such showroom space in the manner contemplated in this subsection (c) and shall perform any and all Alterations required, if any, by Requirements as a precondition to issuance of any such permits or licenses, provided further, however, that the foregoing shall not preclude Tenant from displaying and selling merchandise to a small number of prospective purchasers at any time. In the event that Tenant shall use or permit the use of such showroom in a manner other than as permitted by this Section 2.2(c), and without limiting Landlord's other remedies hereunder, Tenant shall cease and desist such use within twenty-four hours after notice by Landlord to Tenant of such improper or unpermitted use, which notice may be oral.

The Lease shall include the business terms listed on Exhibit O and shall be in the form attached hereto as EXHIBIT J as the same may be reasonably modified and agreed to by the parties;
