Common use of Shares to Pay for Withholding Clause in Contracts

Shares to Pay for Withholding. The Committee may, in its discretion and in accordance with the provisions of this Section 5(b) and such supplemental rules as it may from time to time adopt (including any applicable safe-harbor provisions of Rule 16b-3 under the Exchange Act), provide the Grantee with the right to use shares of Common Stock in satisfaction of all or part of the federal, state, and local income tax liabilities incurred by the Grantee in connection with the receipt of shares of Common Stock upon vesting of RSUs (“Taxes”). Such right may be provided to the Grantee in either or both of the following formats:
