Common use of Shares to Pay for Withholding Clause in Contracts

Shares to Pay for Withholding. The Company may, in its discretion and in accordance with the provisions of this Section 13(b) and such supplemental rules as it may from time to time adopt, provide the Optionholder with the right to use shares of Common Stock in satisfaction of all or part of the federal, state, and local income tax liabilities ("Taxes") incurred by the Optionholder in connection with the receipt of Common Stock. Such right may be provided to the Optionholder in either or both of the following formats:
