Shares Superior to Proportionate Voting Shares. (a) The Company may take no action which would authorize or create shares of any class or series having preferences superior to or on a parity with the Proportionate Voting Shares without the consent of the holders of a majority of the Proportionate Voting Shares and Multiple Voting Shares, voting together, expressed by separate ordinary resolution.
