Common use of Shareholder Proposal Clause in Contracts

Shareholder Proposal. In connection with the transactions contemplated hereby, unless the NYSE has approved the NYSE Exception Application, the Company will call a meeting of its shareholders, to be held promptly after the date of this Agreement to vote on the issuance of Common Shares to the Investors and the Treasury as contemplated by this Agreement as required by Section 312.03 of the NYSE Listed Company Manual (the “Shareholder Proposal”).
