Common use of Shareholder Agreements Clause in Contracts

Shareholder Agreements. As a condition to, and simultaneously with, the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Exhibit A hereto, (collectively, the “Shareholder Agreements”) pursuant to which he or she has agreed, solely in his or her capacity as a shareholder of the Company, among other things, to vote his or her shares in favor of the principal terms of the Merger.

Shareholder Agreements. As a condition to, and simultaneously with, the execution of this Agreement, each Shareholder (as defined herein) identified on Exhibit D hereto is entering into an agreement, in the form of Exhibit A hereto, hereto (collectively, the “Shareholder Agreements”) ), pursuant to which he or she each Shareholder has agreed, solely in his or her capacity as a shareholder of the Company, among other things, to vote his or her shares in favor of the principal terms of the MergerMerger and to approve and adopt this Agreement.

Shareholder Agreements.
