Shareholder Agent Expenses. Each Company Shareholder shall be liable for its proportionate percentage of any reasonable expenses (including reasonable attorneys' fees) paid or incurred by the Shareholder Agent. The Shareholder Agent shall be entitled, but not limited to, reimbursement of any such expenses from the Escrow prior to any distribution thereof to Parent or the Company Shareholders.
