SHARED SALES Sample Clauses

SHARED SALES. If any Sales Person becomes an employee of the Buyer, the Parties shall enter into a distribution agreement which shall provide that (A) such Sales Person will continue to sell the Seller's cannulae products for a period of one year following the Closing Date in the same territory that such Sales Person currently sells the Seller's cannulae products, (B) the Seller shall pay the Buyer a commission of 15% of net sales, and (C) the Buyer shall be prohibited from directly or indirectly selling any product that competes with the Seller's cannulae products in the sales territory of any Sales Person who accepts employment with the Buyer for a period of two years from the Closing Date. If any Sales Person remains an employee of the Seller, (A) the Seller shall act as the Buyer's agent with respect to the distribution of the Products in the sales territory of any such Sales Person for a period of one year following the Closing Date, and (B) the Buyer shall pay the Seller a commission of 15% of net sales. The Parties agree that if a distribution or agency relationship as described above becomes necessary, the Parties shall negotiate in good faith the terms of a distribution or agency agreement, as applicable, to be entered into by the Parties at the Closing Date.
