Common use of Share Value Clause in Contracts

Share Value. The number of shares of IHS Stock issuable pursuant to Sections 2.1, 10.9 and 10.10 shall be calculated based upon a price per share of such stock equal to the closing New York Stock Exchange ("NYSE") price of such stock on the day before the Closing Date.

Share Value. The number of shares of IHS Stock issuable pursuant to Sections 2.1, 10.9 and 10.10 upon execution of this Agreement (the "EXECUTION DATE SHARE COUNT") shall be calculated based upon a price per share of such stock equal to the average closing New York Stock Exchange ("NYSE") price of such stock on for the thirty (30) trading day period immediately preceding the date which is two (2) trading days before the Closing Datedate hereof (the "TRADE PRICE").

Share Value. The Whenever shares of IHS Stock are to be delivered pursuant to this Agreement, the number of shares of IHS Stock issuable pursuant to Sections 2.1, 10.9 and 10.10 shall be calculated based upon a price per share valued as of such stock equal to the applicable date of determination by using the average closing New York Stock Exchange ("NYSE") price of such stock IHS Stock for the twenty (20) trading day period ending on the day before date which is two (2) trading days prior to the Closing Dateapplicable date of determination.

Share Value. The number of shares of IHS Stock issuable pursuant to Sections 2.1, 10.9 and 10.10 upon execution of this Agreement (the "EXECUTION DATE SHARE COUNT") shall be calculated based upon a price per share of such stock equal to the average closing New York Stock Exchange ("NYSE") price of such stock on for the five (5) trading day period immediately preceding the date which is two (2) trading days before the Closing Datedate hereof (the "TRADE PRICE").
