Common use of Share security Clause in Contracts

Share security. If the Security Document to be executed by the relevant Obligor creates a Security Interest over shares in a Subsidiary of that Obligor: (a) where such Subsidiary is not itself an Obligor, a certified copy of the memorandum and articles of association (or other constitutional documents) of such Subsidiary in a form acceptable to the Facility Agent; (b) stamped executed but undated stock transfer or stock powers forms (as applicable) in respect of such shares (stamped if applicable); and (c) share certificates in respect of such shares.
